June 8, 2007 TO: President Stock Exchange of Thailand RE: Dispose of Thaiticket Master.Com [TTM] shares BEC would like to inform that BEC-Tero Entertainment Plc. [BEC-Tero] - our subsidiary which BEC holds 60% of the paid up capital and the substantial portion of the rest is held by non - connected parties, has sold 40% of the ordinary shares of Thaiticket Master.Com Co., Ltd. [TTM], to Major Cineplex Public Company Limited [Major] who was not a related person. The share transfer will be concluded within this month. The total number of the shares sold is 400,000 shares (the par value of Baht 10 per share), which is 40% of the total TTM's shares. The value of the transaction is Baht 31.2 million of which the selling price is Baht 78 per share. The book value of such share as per the audited financial statement at the end of 2006 is Baht 17.18 per share. The value of the transaction is 0.47% of the total assets of the company at the end of the 1st quarter of 2007. This transaction is to have Major as a significant strategic partner of TTM, so that both BEC and Major benefit from this alliance. Please be informed accordingly.
