November 23, 2001 To: President Stock Exchange of Thailand Re: Loan to subsidiary which the company's holding is not exceeding 90% of the paid -up capital of the subsidiary. Referring to: Our previous letter dated July 30, 2001. As we reported by the said referred letter, the short-term loans granted by the company to TVB 3 Network Co.,Ltd. [TVB 3] our subsidiary which the company's holding is not exceeding 90% of the paid-up capital of the subsidiary and the minority shareholder is not a connected person. Today we have agreed to roll-over loans of Baht 1,200,000 which are due for repayment on November 23, 2001 for another year and to grant a new loan of Baht 700,000 which will be due for repayment a year from November 23, 2001. Interest rate of both transactions are fixed at 4.50% per annum. Details of the transaction are as per the enclosed disclosure form. Please be informed accordingly. (lender)[BEC] and TVB 3 Network Co.,Ltd.(borrower) [TVB 3] Related: BEC has effectively 60% interest in TVB 3, through its 100% subsidiary BEC-International Distribution Co.,Ltd. The other 40% is held by TVB Oversea Co., Ltd. [TVB] a company in Television Broadcasts Limited (Hong Kong) Group. TVB is not a connected person. 3. Transaction Date: November 23, 2001 4. Amount of money: Baht 1,900,000 5. Characteristic of transactions: The transactions are the roll-over of an existing loan for another year and a new loan for a year. The interest rate are fixed at 4.50% per annum, at a higher rate than the banks' deposit rate on the transaction date.
